Circa Rental Agreement

Effective Date: April 23, 2025

IMPORTANT NOTICE:
This Rental Agreement ("Agreement") is intended to facilitate agreements directly between users of the Circa platform. Circa Technologies, Inc. ("Circa") provides the platform but is NOT a party to this Agreement. Circa does not own, rent, control, or endorse any items listed and is not responsible for the performance of obligations under this Agreement by either the Owner or the Renter. Users enter into this Agreement at their own discretion and risk.

1. Parties to the Agreement

  • The Owner: The user listing the item(s) for rent on the Circa platform.
  • The Renter: The user agreeing to rent the item(s) from the Owner via the Circa platform.

(Collectively referred to as the "Parties.")

2. Definitions

  • Item(s): The specific goods listed by the Owner and agreed upon for rent by the Renter, as detailed on the Circa platform transaction record.
  • Platform: The Circa website, mobile applications, and related services.
  • Rental Period: The duration for which the Renter is authorized to possess and use the Item(s), as specified in the transaction details.
  • Rental Fee: The amount payable by the Renter to the Owner for the use of the Item(s) during the Rental Period.
  • Security Deposit: An optional amount held via Circa's Escrow Services to cover potential damages, loss, or late return fees.

3. The Rented Item(s)

The Owner agrees to rent to the Renter the specific Item(s) described in the transaction record on the Circa Platform. The Owner represents that the condition and description of the Item(s) are accurate to the best of their knowledge at the time of listing.

4. Rental Period

The Rental Period shall commence on the Start Date and Time and end on the End Date and Time as confirmed through the Platform. Any extension must be mutually agreed upon via the Platform.

5. Rental Fee and Payment

The Renter agrees to pay the Rental Fee specified in the transaction record. All payments are processed through the Circa Platform according to Circa's payment and escrow procedures.

6. Security Deposit (If Applicable)

If a Security Deposit is specified:

  • It will be held by Circa's Escrow Services.
  • The deposit will be released after the satisfactory return of the Item(s), subject to Circa's Escrow Terms.
  • Deductions may occur for:
    • Damage to Item(s) beyond normal wear and tear.
    • Loss, theft, or non-return of Item(s).
    • Late return fees if pre-agreed or specified.

7. Use, Care, and Return of Item(s)

  • Use: The Renter agrees to use the Item(s) solely for their intended purpose and in compliance with applicable laws. Subleasing or illegal use is prohibited.
  • Care: The Renter is responsible for maintaining the Item(s) during the Rental Period.
  • Return: The Renter must return the Item(s) in substantially the same condition as received, allowing for normal wear and tear, to the agreed-upon location by the end of the Rental Period.

8. Representations and Warranties

  • Owner: Warrants legal ownership or rights to rent the Item(s) and the accuracy of the listing.
  • Renter: Warrants compliance with Circa's eligibility standards and proper use of the Item(s).

9. Liability, Loss, and Damage

  • Risk of Loss: Transfers to the Renter at pickup/delivery and remains until return.
  • Responsibility: Renter is liable for all damage, loss, theft, or destruction of Item(s).
  • Indemnity: Renter agrees to indemnify the Owner against any claims arising from Renter's possession or use of the Item(s).

10. Insurance

Circa does not provide insurance for the Item(s) or the transaction. The Parties are responsible for obtaining any desired insurance coverage independently.

11. Disputes Between Parties

The Parties must attempt to resolve any dispute informally. If unresolved, they may initiate Circa's platform-based dispute resolution concerning escrowed funds. Circa's role is limited solely to facilitating escrow per the Circa Escrow Terms.

12. Termination

  • This Agreement terminates automatically at the conclusion of the Rental Period upon the successful return of the Item(s).
  • Early termination may occur according to cancellation rules or breach of Agreement, potentially impacting the Security Deposit.

13. Governing Law

This Agreement is governed by the laws of the Commonwealth of Virginia. Any disputes shall be exclusively resolved in the state or federal courts located in Fairfax County, Virginia.

14. Entire Agreement

This document and the transaction details on the Circa Platform constitute the full and entire understanding between the Parties regarding the rental of the specified Item(s).

15. Circa Disclaimer

The Parties acknowledge that Circa Technologies, Inc. acts solely as a neutral platform provider and escrow facilitator. Circa is not a party to this Rental Agreement and bears no liability for the performance of either Party, beyond its obligations under the Circa Terms of Service and Escrow Terms.
