Circa Terms of Service

A. ACCEPTANCE OF TERMS

By accessing or using the Services, you agree to be bound by these Terms, our Privacy Policy, and all additional terms referenced herein. If you do not agree, you may not access or use the Services.

B. SERVICES OVERVIEW

Circa is a technology platform that facilitates peer-to-peer exchange, bartering, or rental of physical goods. Circa is not a party to any transactions between users and does not assume ownership, control, or legal responsibility over any goods or interactions between users.

C. USER ELIGIBILITY

You must be at least 13 years old to access the Services. If you are under 18, you may only use the Services under the supervision of a parent or legal guardian. By using Circa, you represent and warrant that you meet these eligibility requirements.

D. ACCOUNT REGISTRATION

To use certain features, you must register for an account and provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

E. PLATFORM RULES AND USER CONDUCT

You agree not to:

• Violate any applicable laws or regulations;
• Post or exchange items that are illegal, unsafe, or restricted;
• Misrepresent item condition, ownership, or availability;
• Circumvent Circa's escrow or verification features;
• Engage in harassment, fraud, abuse, or manipulation of users or the platform.

We reserve the right to suspend or terminate accounts or listings that violate these rules.

F. TRANSACTIONS AND ESCROW

Circa may provide optional smart contract-based escrow services. All transactions are conducted at the sole discretion of the users involved. Circa does not guarantee successful completion or resolution of any exchange and assumes no liability for damages, loss, or disputes arising from transactions.

G. PLATFORM AVAILABILITY

The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind. We do not guarantee uninterrupted access, error-free operation, or compatibility with all devices. Functionality may change during development and testing phases.

H. INTELLECTUAL PROPERTY

All content, trademarks, software, and intellectual property provided by Circa are owned by or licensed to Circa and protected by intellectual property laws. Users may not copy, modify, distribute, or reverse engineer any part of the Services except as expressly permitted.

I. USER CONTENT

By submitting or posting content (including listings, descriptions, reviews, or messages), you grant Circa a worldwide, royalty-free, sublicensable license to use, host, reproduce, modify, and display such content in connection with the operation and promotion of the Services.

J. PRIVACY

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and share personal data.

K. SUSPENSION AND TERMINATION

We reserve the right to suspend, restrict, or terminate your access to the Services at our sole discretion and without liability if we believe you have violated these Terms or engaged in inappropriate, harmful, or illegal behavior.

L. DISCLAIMERS

To the maximum extent permitted by law, Circa disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, and system integration. Circa is not liable for any damages arising from user transactions, lost goods, data breaches, or Service interruptions.

M. LIMITATION OF LIABILITY

In no event shall Circa, its affiliates, officers, employees, or licensors be liable for any indirect, incidental, consequential, or punitive damages, or any loss of profits or revenues arising out of or related to your use of the Services. Circa's total liability shall not exceed one hundred dollars ($100).

N. MODIFICATIONS TO TERMS

We may update these Terms at any time. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms. We will provide notice of material changes via the platform or email.

O. TAXES

You are solely responsible for determining and complying with your tax obligations related to your use of the Services, including but not limited to reporting and remitting any applicable sales, use, value-added, income, or other taxes. Circa does not provide tax advice and is not responsible for collecting, reporting, or remitting taxes arising from any transactions facilitated through the platform. We encourage users to consult with a qualified tax professional regarding their specific obligations.

P. GOVERNING LAW

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict of law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Fairfax County, Virginia.
